Since April 2021, Mexico’s Federal Labor Law prohibits personnel subcontracting — one company “lending” workers to another — and allows only specialized services delivered by a provider registered in REPSE. The consequences of getting this wrong fall on the client, not only on the provider:

  • Joint liability for wages, benefits and IMSS/INFONAVIT contributions of the provider’s workers.
  • Fines from 2,000 to 50,000 UMA per infringement for contracting specialized services from an unregistered provider.

REPSE explained

REPSE, in the terms your US legal and finance teams use

What it is. REPSE (Registro de Prestadoras de Servicios Especializadas u Obras Especializadas) is a public registry run by Mexico’s Ministry of Labor. Any company that supplies specialized services or works with its own personnel to another company must be registered, renew every three years, and prove it is current with tax and social-security obligations.

What “specialized service” means. Work that is not part of the client’s corporate purpose or main economic activity: staffing of support functions, industrial maintenance, cleaning, occupational health, logistics — and, structured correctly, dedicated production crews delivered as a service with the provider’s own personnel and supervision.

What it does for you. A REPSE-registered provider means the workers are legally the provider’s employees, the invoice is deductible and the VAT creditable, and your company is not treated as the employer. The registration notice becomes an annex of the contract; the monthly compliance evidence (IMSS, SAT, INFONAVIT) is what an auditor will ask for.

What it is not. It is not a license to “rent” workers for your core activity, and it is not a substitute for a real employer: a provider that only holds the paperwork but has no HR, supervision or payroll capacity is exactly the kind of risk the reform tried to remove.

What happens if I hire staff through a non-registered provider?
The Federal Labor Law fines both the provider and the client — 2,000 to 50,000 UMA per infringement — the tax authority (SAT) can reject the deduction of the invoices and the VAT credit, and your company can be held jointly liable for wages, benefits and social-security contributions of the provider’s workers. The savings of an informal provider are always smaller than that exposure.
